Changes in the content and procedure of notification under art.62, para 4 of the Labor Code

The Ordinance amending and supplementing Ordinance No.5 as of 2002 for the content and procedure of notification under art.62, para 4 of the Labor Code came into force with the State Gazette No.1 as of 4th January, 2011. According to the new provisions the notice for termination of the labor agreement shall be sent on paper, as a letter with explanations is not necessary.

In case the Bulgarian company is public it could register its shares for trading on the Polish market – in the most cases – after approval of a prospectus for the purposes of the dual listing by the Bulgarian Financial Supervision Commission. In case the Bulgarian company is not public, it could get an approval of the prospectus directly from the Polish regulator.

New Regulation for smoking in public places, November 16th, 2010

The new Regulation for smoking in public places and work places was published by the State Gazette as of November 16th, 2010. The Regulation comes into force as of November 19th, as within 1 (one) month as of this date the premises must be executed in accordance with the legislative requirements.

The Financial Supervision Commission has adopted a new tariff

The Financial Supervision Commission has adopted a draft of the tariff in accordance with art. 27 of the Financial Supervision Commission Act. The draft of the new tariff is published on the website of the Financial Supervision Commission and includes double increase of the fees as well as several new fees for the supervised entities.

The constantly changing tax rules of Greece are not only unattractive to new investors, but could even change the plans of established ones: e.g., during 2010, within less than 6 months, the excise duties and VAT were increased twice. The declaration pattern adopted on a cession of FSC as of 4th of August 2010 with respect to the revelation of the actual proprietor of the relevant supervised entities concerns insurance companies, reinsurance companies, insurance agents, health insurance companies, extra social security companies, regulated markets, investment intermediaries and managing companies (§ 27, para. 1, § 28, para. 1 and § 29, para. 1 of transitional and closing provisions of the Act on amendment and supplementation of the Financial Supervision Commission Act). The declaration pattern is expected to be published on the Financial Supervision Commission as of today.

The new managing board of the Financial Supervision Commission has adopted declaration obliging the supervised entities to reveal their actual capital structure. Upon the amendment of the Financial Supervision Commission Act and the relevant amendments of the Financial Securities Markets Act and Public offering of securities Act within a term of 3 (three) months as of the entering into legal force of the act (11th of September, 2010) the supervised entities shall be obliged to submit to the commission a list of the persons/entities showing the actual proprietor which possesses directly or indirectly 5 or more percent of the vote shares or of the capital.

In May 2005, Austrian investment fund Tishman Lindner Bulgarian Real Property GmbH (new name: Tishman Bulgarian real Property Gmbh) bought out the entire capital of the public company Promota Bulgaria. The aim of this acquisition is no secret to anyone aware of the developments on the real estate market – Tishman and Lindner are major players on the international market, while the Bulgarian company (fully owned by two Greek companies before the sale) owns two strategic land plots near the Sofia Airport.

The latest amendments to the Public Offering of Securities Act were promulgated on May 10th 2005. They seem to have created a new investment niche on the Bulgarian capital market for small and medium-sized investors – these are the mutual funds or contractual funds as the legal term is. This way of making joint investments by a group of people with similar predispositions to the market is new for Bulgaria and was highly acclaimed by Bulgarian fund managers. Mutual funds are similar to the already familiar open investment companies.

Investment intermediaries have to face some tough decisions after the latest amendments to the Public Offering of Securities Act (POSA) and Regulation No1 regarding the requirements to investment intermediaries (Regulation No1). Investor interest in agricultural land in Bulgaria rose significantly over the past two years. The reasons for this, of course, lie in Bulgaria’s upcoming accession to the EU and the expected increase in the prices of agricultural land. From here, investor intentions take two major courses – some of them intend to use the land for its designated purpose, also taking advantage of the expected EU funding.
